     • Terms of use/agreement - these rules/agreement together with any other rules and/or conditions that this agreement considers part of these rules with an appropriate reference, and which govern the User's access to the Website and use of the Website, including related with any content, features and services offered on the Website.
     • Account - a personal account registered on the Website by the User.
     • Authorization - the User's access to the account.
     • Item - a product offered for sale on the Website
     • Party - one of the parties by context.
     • Sides - both sides together.
     • Website means the citadeli.com website and all other alternative channels available to Citadeli.
     • Operation - any operation performed by the User in connection with the account and / or services.
     • Universal identifiers - a set of data provided by Citadeli to User, with the help of which he registers in the identification system and has the opportunity to use a number of remote services of Citadeli and/or remote service channels.
     • Access Codes - codes, passwords, User name, identification codes, universal identifiers and / or other confidential information that Citadeli may provide to User to access various services.
   • Depending on the context, words in the singular can mean the plural and vice versa.
2. USER STATEMENTS, WARRANTY AND LIABILITIES
   • By agreeing to these terms, User acknowledges and confirms that:
     • is a legal entity established in accordance with the legislation of Georgia, or an individual aged 18 years or older with full and unlimited legal capacity (or a person under the age of 18 who has the permission of the relevant persons to enter into this agreement).
     • User has all the powers to enter into and fulfill obligations under this agreement.

     • agrees to receive short text, voice and/or other types of promotional messages to User's phone number, e-mail address provided to the Citadeli company, with the frequency set by Citadel, until Citadeli receives another instruction from User.
     • Immediately inform Citadeli in writing of all circumstances that may contradict the statements specified by him and / or lead to a violation of the specified warranties;
   • The Website's design, software package, underlying code, software and other materials are subject to copyright and other intellectual property rights and are therefore subject to protection;
   • User undertakes not to use the software equipped with artificial intelligence in connection with the use of the service;
   • User must always keep account access codes secure and never share them with third parties.
   • User assumes full responsibility for any actions performed under his account. If a person gains access to User's account on behalf of another person, it is assumed that he has sufficient authority to impose certain obligations on User. Citadeli fully disclaims any liability for damage caused by third party access to User's account.
   • User is obliged to change his password and immediately contact Citadeli service center if User has reasonable suspicions that the information, password or other access code (s) or means of access to his account have been stolen, lost, misappropriated, used without permission or otherwise assigned. Failure to comply with this obligation will jeopardize the security of User's account, as well as entail liability for any losses.
   • User is obliged to ensure the accuracy of the information in the account and its relevance. Citadeli is not responsible for any damage caused by User's failure to comply with this obligation. Citadeli has the right at any time to request from User confirmation of the correctness of the information or the provision of documents or other evidence.
3. Registration and authorization on the Website
   • To use the Website, User must register an account on the Website and pass authorization.

   • User's e-mail address is unique - the e-mail address to which User receives access codes and passwords (if any) necessary to perform the operations specified by the centralized remote service. In order to receive centralized remote service, User may be required to perform authorization using a simple (using name (e-mail) and password) or complex (using name, password and one-time code) authorization method. The authorization method for using each respective remote service channel (s)/services is also registered in the centralized identification system.
   • In order to improve service and / or security, the Company may determine additional or different user identifiers.
5. Selection of products desired by the User, registration and receipt of an order:
   • User goes to the main page through the Website, from where he can access various information using the navigation buttons.
   • using the navigation buttons, User selects the desired category of item, after which he is given the opportunity to filter the data according to the characteristics of the desired product, discounts and / or other proposed data.
   • by clicking on the "Add to Cart" button, User selects and puts the desired itemin his cart.
   • before completing the purchase procedure, User indicates on the relevant page and in the relevant fields the following information: personal number or identification code, mobile phone number, actual address, preferred methods of delivery and payment.    • after filling in the fields on the purchase page and pressing the payment button, User will be redirected to the payment page, where a fee for various services can be added to the cost of the item.

   • Citadeli has the right to unilaterally, at its sole discretion, cancel any purchase made by User.

   • Working days of the Company from Monday to Friday. If User places an order on a weekend or holiday established by the legislation of Georgia, the order will be received and processed on Monday or the next day after the end of the holiday.

6. The procedure for receiving purchased item

8. Warranty Terms
   • The commercial warranty applies only to products with a warranty card.
   • the conditions for obtaining warranty service will be specified in the relevant warranty card.
   • in order to find out details about the extension of the warranty conditions for specific products, the User can obtain information by contacting Citadeli through the means of communication specified in this agreement.
   • if User or a person appointed by him does not make claims regarding the condition of the item upon acceptance of the item, it is considered that the item are in good order and have no external damage or defects.
9. Right to withdraw from the contract

User, who is a natural person and who has purchased the item for personal use, has the right to withdraw from the contract within 14 calendar days after receipt of the item by him or by a third party appointed by him and take advantage of the following conditions for returning the item:

• User is obliged to send the seller the return form below or other unambiguous evidence reflecting User's decision to return the item within 14 calendar days after the item has been received by User or a third party designated by him.

• After canceling the contract, User is obliged at his own expense to return the item to the Seller within 7 calendar days after notifying the Seller at the following address: Tbilisi, st. R. The item cannot be returned at other times of the day.

• User does not have the right to withdraw from the contract in the following cases:
• the conditions of storage of the item are violated;
• the packaging of the item is damaged; the item has lost their presentation / presentation and / or consumer properties;
• the item has already been used;
• the cost of the purchased item does not exceed 30 GEL;
• the price of the purchased item depends on a change in the financial market, which the Seller cannot control and which occurred within the period established for the exercise of the right to withdraw from the contract;

• the purchased item is perishable or has a short shelf life;

• when returning the item, the item must be accompanied by all the accompanying details and documents issued upon purchase (box, delivery note, payment receipt, warranty card (if any), user manual, technical passport, etc.);
• when returning the item, User must have an identity card with him.
• The Seller will return to User the amount paid for the purchase of the item within 14 calendar days from the date of return of the item.
• Refunds will be made to the bank account from which the payment was made. If the cost of the item was paid using a payment terminal, the amount will be returned to User through a bank transfer - to the bank account number provided by User to the seller.
• if the item and / or its accompanying parts / documents show any changes, the Seller has the right not to accept the item back or refund part of the amount paid by User in accordance with the assessment of the item / accompanying parts / documents.
• when returning the item purchased under the promotion, the Seller has the right to require User to return the total benefits received under the promotion.

10. Citadeli's Disclaimer
    • Citadeli is not responsible for and does not warrant that the Website and/or the Service will be continuously available or free of bugs, viruses or other bugs.
    • The Citadeli's liability is limited to direct damage to the other party.
    • Citadeli is not responsible for:
      • consequential damages arising from the sale of a defective itemor for any other reason, including, but not limited to, damage to reputation, lost profits, loss of business or other material losses.
      • direct or indirect damage resulting from the cancellation for any reason of any purchase made by User.

    • Citadeli is responsible for:

      • confidentiality of information about transactions carried out on the account, except as provided by law and this agreement.

11. Account termination and usage restrictions
    • Citadeli has the right to terminate or restrict User's right to use the Website unilaterally, by means of a message sent to the email address, if it considers that the requirements of these conditions have been violated.
    • User has the right to demand the cancellation of the account registered on the Website at any time. To do this, he should send a request to the Company's email address. User's account on the Website will be canceled within 01 month after the Company receives a request from User.
    • Cancellation of the account registered on the Website does not entail the termination of the provisions of the Privacy Policy provided for in the agreement.
    • Cancellation of the account registered on the Website does not lead to the automatic deletion of User's personal data. To delete personal data, User must send a corresponding request to the company's email address. 12. Governing Law and Dispute Resolution

    • The place of execution of the agreement is Georgia.
    • In case of disagreement, the dispute will be considered by the Georgian courts.
13. Validity and termination of the contract
    • This agreement comes into force from the moment User starts using the Website and is valid until User's registration is cancelled.
14. Final provisions:
    • articles, paragraphs and subparagraphs of the agreement are numbered and named for convenience only and this fact is not relevant to the interpretation of the agreement.
    • in case of a request, User is obliged to provide Citadeli with any additional information, as well as provide the relevant supporting documents that are required by Citadeli and / or determined by the legislation of Georgia.
    • if any provision of the agreement is declared invalid, the remaining provisions of the agreement shall remain in full force and effect. Instead of an invalid provision, a provision is used that more easily achieves the purpose provided for in the contract (including the invalid provision).
    • Citadeli has the right to unilaterally amend the text of these terms and conditions and notify User about it using Citadeli information tools, including the Website, any other channel and / or e-mail available to Citadeli.
    • User is not entitled to transfer the rights and claims arising from these conditions, or impose obligations on another person without the written consent of Citadeli.
    • the place of performance of these conditions is the legal address of Citadeli.
    • Annexes to this agreement (if any) are fully governed by the articles, clauses and sub-clauses of the agreement.
